Purchase Agreement


GENERAL TERMS

Scope
1.1. These General Terms govern the contractual relationship between you as the customer (hereinafter referred to as the "Customer") and UAB Konica Minolta Baltia Latvian branch, company registration No. 40003728085, address Mūkusalas iela 42e, LV-1004, Rīga, Latvia (hereinafter referred to as "Konica Minolta"), regarding the online purchase of Konica Minolta products using the website www.konicaminolta.lv/shop (hereinafter referred to as the "Platform").

Use of the Platform
2.1. To conclude a Purchase Agreement for products offered on the Platform, the Customer must provide accurate, detailed, and correct identification information for their company (name, registration number, legal address). If there are changes to the information provided by the Customer, they must immediately, but no later than 1 (one) day, inform Konica Minolta by writing to the email support.eshop@konicaminolta.lv.
2.2. Konica Minolta reserves the right to refuse to conclude a Purchase Agreement if:

The Customer is a natural person;
The representative of the Customer is not authorized to enter into contracts;
The Customer's registration information is inaccurate, incomplete, or incorrect;
The Customer's creditworthiness is insufficient;
The Customer repeatedly fails to fulfill contractual obligations, disregarding warnings.
2.3. By providing information and concluding this Purchase Agreement, the Customer guarantees that they have the right to represent the specified legal entity, and the Customer has the necessary supporting documents.
2.4. The Customer is prohibited from processing any data on the Platform that (i) is illegal, provocative, defamatory, unlawful, threatening, harmful, or otherwise prohibited; (ii) the Customer is not authorized to process according to legal requirements or contracts; (iii) violates the rights of third parties, including, but not limited to, intellectual property rights and trade secrets; (iv) contains viruses or other harmful components or is otherwise contrary to the Privacy Policy.

3. Placing an Order and Confirmation on the Platform

3.1. The Platform allows the Customer to enter into an agreement with Konica Minolta for the purchase of multifunction copiers, printers, materials, and/or software (hereinafter referred to as "Products").
3.2. Considering the technical specifications of the Product, the available features, print volume indicated on the Platform, and prices, the Customer selects products that best suit their requirements and preferences. Konica Minolta does not assume responsibility for the Customer's choices made on the Platform. The Customer, assuming the risk, must verify compatibility with their internal IT systems.
3.3. Completing the ordering process on the platform, the Customer submits a binding offer to Konica Minolta to conclude a Purchase Agreement for the selected Products. This Purchase Agreement becomes effective only after Konica Minolta has confirmed it in writing.
3.4. Receipt of the offer alone does not mean that Konica Minolta has approved it. Approval is effective only when the Customer receives written confirmation from Konica Minolta via email, clearly stating that the offer has been approved.
3.5. Konica Minolta reserves the right, at its discretion, to decide whether to approve the Customer's offer or not. The reasons for rejecting the offer are specified in clause 2.2 of this Purchase Agreement.
3.6. By submitting the offer, the Customer agrees to these General Terms.

4. Price

4.1. The purchase price will be indicated on the Platform and confirmed by Konica Minolta.
4.2. The price includes product delivery to the Customer's specified address and one-time product installation. Products are delivered in export packaging and are insured to the Customer's address.
4.3. The invoice is sent to the Customer's specified email address.
4.4. Unless otherwise specified, the Customer must pay the purchase price in advance, in accordance with the invoice received, together with the Customer's offer approval, by transferring the amount to the bank account specified on Konica Minolta's invoice.

5. Ownership Rights and Transfer of Risk

5.1. Products are handed over from Konica Minolta to the Customer only after the Customer has fully and finally paid the purchase price. If Konica Minolta and the Customer agree on an accelerated delivery of the Products, Konica Minolta reserves the right to take back the Products from the Customer until the Customer has paid the entire purchase price.
5.2. The risk of loss, damage, destruction, and other risks remain with Konica Minolta until the Products are delivered to and fully transferred to the Customer.

6. Delivery
6.1. The delivery time for the Products, as indicated on the Platform, is approximate and not binding. Konica Minolta does not compensate for any delays or cover losses that have occurred due to delays.
6.2. The Customer agrees that Konica Minolta may enter into subcontracts for the delivery of the Products.
6.3. The Customer must notify Konica Minolta of any Product non-compliance or unsuitability no later than 5 (five) working days after delivery. If the Customer notifies later, Konica Minolta has the right not to consider such a claim.

7. Replacement Warranty
7.1. Konica Minolta guarantees that the Products comply with the technical specifications indicated on the Platform. Upon receiving the Products, the Customer must immediately check and inform Konica Minolta of any defects or non-compliance.
7.2. Konica Minolta will replace defective products at its expense if, during the inspection, it is found that the defect existed at the time of delivery and did not arise from the Customer's improper use or installation. This replacement warranty expires if the Customer's claim is submitted more than 12 (twelve) months after the Product delivery date.
7.3. The warranty period begins from the Product's delivery date.
7.4. The warranty does not cover consumables (toner cartridge, image drum/block, developer, transfer belt/roller, fixing unit) and fast-wearing parts used within the manufacturer's specified time.
7.5. During the warranty period, Konica Minolta covers the replacement and repair costs of damaged parts due to manufacturer's defects.

8. Data Protection
8.1. The Customer is responsible for the lawful processing of personal data (e.g., email addresses, IP addresses, etc.) performed using the Products. Konica Minolta assumes no responsibility for such data and does not process the specified personal data.

9. Maintenance
9.1. The Customer can use Konica Minolta's support hotline [insert phone No] for Product maintenance or repairs by paying the current maintenance fee.

10. Liability
10.1. Konica Minolta assumes responsibility and compensates the Customer for direct losses determined by a court decision, and does not compensate for any indirect losses (e.g., loss of paper, income, or profits, etc.) incurred by the Customer due to a breach of this Purchase Agreement and related to Konica Minolta.
10.2. Except in cases where Konica Minolta intentionally or grossly violates this Purchase Agreement, in all other cases, Konica Minolta's liability under this Purchase Agreement does not exceed the amount equivalent to a monthly fee paid no more than 12 (twelve) months before the occurrence of such a violation.

11. Software
11.1. If the Customer chooses the software offered on the Platform, Konica Minolta grants a non-exclusive and non-transferable license for the use of this software. In this Purchase Agreement, "use" means installing, transferring, installing, opening, launching, or viewing the software.
11.2. Konica Minolta and/or its licensors retain all property rights and intellectual property rights to this software.
11.3. The Customer may use the software only for their business purposes. In any case, the Customer is prohibited from allowing third parties to use the software, sell, lease, sublicense, or otherwise transfer it to third parties. The Customer refrains from any actions, including software modification, translation, conversion into another programming language, violation of integrity, decompilation, reconstruction, or preventing third parties from performing any of these actions.
11.4. The Customer agrees to use the software in accordance with the licenses and/or terms of use specified on the product screen during software installation.
11.5. Konica Minolta delivers the software "as is" and does not provide any warranties regarding the software's suitability for any specific use.

12. Final Provisions
12.1. This Agreement is governed by the laws of the Republic of Latvia.
12.2. All disputes arising from or related to this agreement are resolved in the courts of the Republic of Latvia in accordance with Latvian laws.
12.3. The Customer confirms that they use the Platform and conclude this Purchase Agreement for business purposes.
12.4. If any of the terms of this Purchase Agreement are deemed invalid, it does not affect the existence of the remaining agreement terms. Such invalid terms will be replaced by a written agreement of both parties with another term that is closest to the invalid term and best corresponds to the purpose of this agreement.
12.5. Amendments or additions to this Purchase Agreement are effective only if both parties clearly provide their consent in electronic or written form.
12.6. If the Customer does not agree to receive messages, offers, or information about similar products and services from Konica Minolta to the Customer's specified contact information, the Customer is obligated to inform Konica Minolta by writing to the email support.eshop@konicaminolta.lv.
